Privacy Policy for Shareholders, Debenture Holders, and Directors

A.I. Technology Group Co., Ltd., consisting of A.I. Technology Co., Ltd., Tokai Gauge Technology Co., Ltd., A.I. Foundry & Manufacturing Co., Ltd., and AI Innovative Plus Co., Ltd. (hereinafter referred to as “we”) respects the privacy rights of our customers, including individuals who operate on behalf of customers who are legal entities (hereinafter referred to as “Processing”). To ensure that your personal data is protected, we have created this Privacy Policy to inform you about the details related to the collection, use, and disclosure (collectively referred to as “Processing”), including the deletion and destruction of your personal data through both online and other channels as required by applicable personal data protection laws.

1. Purpose of Personal Data Processing

1.1 To comply with the law, such as managing the company (e.g., establishment, capital increase, capital reduction, corporate restructuring, registration amendments), shareholder meetings, recruitment and appointment of company directors, board of directors meetings, managing the rights and duties of shareholders or debenture holders, dividend payments, debenture interest payments, accounting and reporting, legal document review, document distribution, or other legal duties of being a limited company, public limited company, or a company listed on the Stock Exchange of Thailand (as applicable).

1.2 To be used for the implementation of the membership agreement for the application and benefits group for you, and to manage your user account in the application.

1.3 For legitimate interests of us or others, such as company management, recording images or audio of meetings, ensuring security, organizing events, or sending news or offers for the benefit of shareholders, debenture holders, or directors, including for exercising legal claims.

1.4 To prevent and mitigate harm to your or others’ life, body, or health, such as emergency contact and disease control.

2. Personal Data Collected

2.1 We collect personal data of shareholders, debenture holders, including authorized representatives or proxies when you subscribe, become a shareholder, or debenture holder. This personal data is collected directly from you, as well as through securities brokers or securities registrars, such as name, surname, address, phone number, email, contact details, nationality, occupation, date of birth, tax ID number, national ID number, corporate registration number, bank account, and number of shares.

2.2 In cases where you apply for membership or are offered membership in the application and benefits group for you, we will collect additional personal data, such as health history, preferences, and follower information, as well as data of your family members. You will be responsible for informing these individuals of this privacy policy.

2.3 We collect personal data of directors and those nominated as directors. This personal data is collected directly from you, as well as from government agencies, regulatory bodies, and publicly available information, as follows:

(1) In the recruitment process, we collect personal data from your national ID card or government-issued documents that can be used to verify your identity, such as name, gender, ID number, passport number, photo, date of birth, nationality, place of birth, and height.

(2) For individuals holding the position of director, we collect additional personal data, such as compensation payments, training, activities, marital status, information about spouses/partners, children, parents, siblings, blood type, bank account number, email, educational background, profession, work history, director or position in other companies or businesses, participation in board meetings or committee meetings or shareholder meetings, director compensation, securities holdings, securities company name, director performance, and other information as required by law or good governance principles.

2.4 When you participate in any of our activities, we may collect additional personal data by requesting your consent on a case-by-case basis.

2.5 We may need to collect and process special categories of personal data as defined by the Personal Data Protection Law, such as health information, food allergies, and drug allergies, to carry out activities you participate in, including meetings or other events. In such cases, we will explicitly request your consent on a case-by-case basis and will make every effort to implement sufficient security measures to protect your special personal data.

(1) AI Technology Group which includes AI Technology Co., Ltd., Tokai Gauge Technology Co., Ltd., AI Foundry and Manufacturing Co., Ltd., and AI Innovative Plus Co., Ltd.

(2) Other individuals and legal entities outside of our group (“Other Parties”) to fulfill the purposes of collecting and processing personal data as outlined in this Privacy Policy, such as government agencies (e.g., the Ministry of Commerce, the Securities and Exchange Commission, the Stock Exchange of Thailand, Thailand Securities Depository Co., Ltd., the Ministry of Commerce, courts, or parties involved in legal proceedings), related service providers (e.g., meeting management services, financial institutions, insurers and their agents or brokers, securities companies, business partners, consultants, professional service providers, and others necessary to fulfill the purposes of collecting and processing personal data as described in this Privacy Policy).

6.2 We will ensure that those receiving your data implement appropriate measures to protect your information and process the personal data only to the extent necessary, taking action to prevent unauthorized use or disclosure of your personal data.

7. Transfer or Disclosure of Personal Data Abroad

7.1 We may transfer or disclose your personal data to group companies or other parties abroad if necessary for the performance of a contract with you, or for contractual actions between us and other individuals or legal entities for your benefit, or to act upon your request before entering into a contract, or to prevent or address harm to your life, body, or health, or that of others, or to comply with the law, or when necessary for public interest purposes.

7.2 We may store your data on computer servers or clouds provided by third parties and may use third-party software or applications in the form of ready-made software or platform services to process your personal data. However, we will not allow unauthorized access to your personal data and will ensure that these third parties have appropriate security measures in place.

(8) File a complaint with the Personal Data Protection Committee in cases where we or the data processors, including our employees or contractors, violate or fail to comply with the personal data protection law.

We will consider and notify you of the results of our review of your request to exercise these rights within 30 days from the date we receive your request. The rights mentioned above are in accordance with the personal data protection law.
